Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 15, 2024, Kyle Ingvald Parent resigned as a member of the Board of Directors (the "Board") of Cartica Acquisition Corp (the "Company") as well as a member of each of the Compensation, Nominating and Corporate Governance Committee and the Audit Committee of the Board. Mr. Parent's departure was not the result of any disagreement with the Company on any matter relating to its operations, policies or practices.
