Freshfields Advises Alpha Dhabi on Enersol Joint Venture Acquisition of Additional Equity Stake in Gordon Technologies LLC

Freshfields is advising Alpha Dhabi Holding PJSC (Alpha Dhabi) on Enersol RSC LTD's (Enersol) acquisition of an additional equity stake in Gordon Technologies LLC (Gordon). Enersol, a joint venture of Alpha Dhabi and ADNOC Drilling Company PJSC, has agreed to acquire an additional 42.206% equity stake in Gordon for consideration of approximately $270 million, making Enersol the majority equity holder with an equity stake of 62.7%.

Freshfields previously advised Alpha Dhabi on its acquisition of a 25% stake in Gordon in 2022 (more information on that transaction can be found here), which was subsequently contributed to Enersol in January 2024 (more information on that transaction can be found here).
