Failure to Satisfy Listing Rule Form 8 K

Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On July 15, 2024, Qomolangma Acquisition Corp. (the "Company") received a delinquency notification letter (the "Notice") from the Listing Qualifications Staff (the "Staff") of the Nasdaq Stock Market LLC ("Nasdaq") due to the Company's non-compliance with Nasdaq Listing Rule 5550(b)(2) (the "Listing Rule") as a result of the Company's failure to maintain a minimum Market Value of Listed Securities ("MVLS") of $35 million between May 30, 2024 and July 12, 2024. The Listing Rule requires listed companies to maintain a minimum MVLS of $35 million.

This Notice has no immediate effect on the listing of the Company's shares on Nasdaq. However, if the Company fails to timely regain compliance with the Listing Rule, the Company's common stock will be subject to delisting from Nasdaq. The Notice provides that the Company has 180 calendar days, or until January 13, 2025 (the "Compliance Date"), to regain compliance with the Listing Rule. If, at anytime before the Compliance Date, the Company's MVLS closes at $35 million or more for a minimum of 10 consecutive business days, the Staff will provide the Company with written confirmation of compliance with the Listing Rule.

The Company intends to monitor the market value of the Company's listed securities and may, if appropriate, consider available options to regain compliance with the Listing Rule.
