Indemnification of Directors and Officers.

Section 145 of the Delaware General Corporation Law authorizes a court to award, or a corporation's Board of Directors to grant, indemnification to directors and officers in terms sufficiently broad to permit such indemnification under certain circumstances for liabilities (including reimbursement for expenses incurred) arising under the Securities Act. Article XVI of the Registrant's Amended and Restated Certificate of Incorporation contains a provision eliminating the personal liability of the Registrant's directors to the Registrant or its stockholders for monetary damages for breach of fiduciary duty as a director to the fullest extent permitted by the Delaware General Corporation Law. Article XI of the Registrant's Amended Bylaws provides for the indemnification of the Registrant's directors and officers to the fullest extent permitted by the Delaware General Corporation Law, and provides that the Registrant, by action of its Board of Directors, may provide indemnification to employees and agents with the same scope and effect as the foregoing indemnification of directors and officers. The Registrant has entered into agreements with certain officers and key employees implementing such indemnification.

Insofar as indemnification for liabilities arising under the Securities Act may be permitted to directors, officers and controlling persons of our company pursuant to the Delaware General Corporation Law, our Amended and Restated Certificate of Incorporation, our Amended Bylaws or any of our indemnification agreements with our officers, we have been informed that in the opinion of the Commission such indemnification is against public policy as expressed in the Securities Act and is therefore unenforceable.

We maintain a Directors' and Officers' Liability Insurance Policy designed to reimburse us for any covered payments made by us pursuant to the foregoing indemnification.
