Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 16, 2024, Robert J. Levenson notified the Board of Directors (the "Board") of Paycom Software, Inc. (the "Company") of his retirement from the Board and all committees thereof, effective September 17, 2024. Effective as of Mr. Levenson's retirement, the size of the Board has been reduced from eight to seven directors. Mr. Levenson's retirement is not in connection with any disagreement with the Company on any matter relating to the Company's operations, policies or practices.
