Item 3.02. Unregistered Sales of Equity Securities.

On September 24, 2024, the Company issued 1,882,352.94 common units at a price of $20.40 per unit for an aggregate amount of $38.4 million in reliance upon the exemption contained in Section 4(a)(2) of the Securities Act of 1933, as amended, and Rule 506 promulgated thereunder pursuant to a capital call made by the Company on the same date.
