S&C Advises Initial Purchasers of Giga-Byte Technology’s Concurrent Global Depositary Shares and Convertible Bonds Offerings

Giga-Byte Technology, a developer of PC hardware and solutions listed on the Taiwan Stock Exchange, completed its concurrent offerings of $303.5 million of global depositary shares (GDSs) and $300 million of currency-linked zero coupon convertible bonds (CBs).

The GDSs are listed on the Euro MTF market of the Luxembourg Stock Exchange. The CBs are listed on the Singapore Stock Exchange and convertible into common shares of Giga-Byte listed on the Taiwan Stock Exchange.

Giga-Byte offers a comprehensive product lineup, including motherboards, graphics cards, servers, PCs, other PC components and peripherals. Operating in the gaming PC sector, Giga-Byte provides high-end e-sports motherboards and graphics cards. Giga-Byte also provides AI PCs and AI servers, and offers a full spectrum of cooling technology, ranging from air cooling, direct liquid cooling to immersion cooling.

S&C advised UBS and Citigroup, the initial purchasers of the GDSs offering and the CBs offering, on U.S. law matters.
