Item 8.01. Other Events.

On October 15, 2024, Cartesian Growth Corporation II (the "Company") entered into a non-binding letter of intent with a potential target (the "Potential Target") with respect to its initial business combination. The Potential Target in the risk-reduction products sector and would, on a pro forma basis at the closing of such potential business combination, be a market-leading company with operations in multiple countries and is expected to own businesses generating 2025 pro forma adjusted EBITDA of more than $100 million.

Adjusted EBITDA is neither an IFRS nor a GAAP measure. The Company is unable to provide a reconciliation of adjusted EBITDA as it is not reconcilable to its most directly comparable IFRS or GAAP measure without unreasonable efforts, because the amounts excluded from the relevant IFRS or GAAP measures used to determine adjusted EBITDA cannot be predicted with reasonable certainty.

While the Company is hopeful that it can consummate an initial business combination with the Potential Target, there is no guarantee that the Company will be able to enter into a definitive business combination agreement with the Potential Target or, if such agreement is entered into, that it will be able to consummate a business combination with the Potential Target by the Company's termination date (which may be extended). Any such transaction would be subject to board and stakeholder approval of both the Company and the Potential Target, regulatory approvals and other customary closing conditions.
