Meeting of the Board of Directors Held on 16 July 2024 and Execution of Consortium Agreement

Background/Description of the Disclosure

Greenergy Holdings Incorporated (the "Company") is pleased to inform the investing public that in the meeting of the Board of Directors (the "Board") held on 16 July 2024, the Board approved the authority of the Corporation to enter into pertinent agreements and other transaction documents for the Corporation to join a consortium that submitted an unsolicited proposal to the Department of Transportation to undertake a Public Private Partnership (PPP) for the development, operation, and maintenance of a mass transport system. On the same day, the Company executed a Consortium Agreement to implement the entry of the Corporation in the said consortium.
