Item 3.02 Unregistered Sales of Equity Securities.
As of September 3, 2024, North Haven Net REIT, a Maryland statutory trust (the "Company"), sold an aggregate of 308,122 Class F-I common shares and 491 Class E common shares (the "Shares") (with the final number of Shares being determined on September 12, 2024) for aggregate consideration of approximately $6,187,500 and $9,864, respectively, based on net asset value per share as of August 31, 2024, to feeder vehicles primarily created to hold the Company's Class F-I common shares, Class I common shares and Class E common shares. The offer and sale of the Shares was exempt from the registration provisions of the Securities Act of 1933, as amended, by virtue of Section 4(a)(2) and Rule 506 of Regulation D promulgated thereunder.
