(the "Company"), underlying restricted stock units granted under the Company's 2011 Equity Incentive Plan (the "Plan") on November 1, 2024. 20,000 are time restricted stock units and deliverable to Ms. Lima-Guinehut on May 29, 2025, provided Ms. Lima-Guinehut is employed by the Company on the vesting date, subject to the terms and conditions of the Plan. 40,000 stock units are performance stock units, one-half of which are deliverable to Ms. Lima-Guinehut on each of April 15, 2026 and April 15, 2027, respectively, provided the Company certifies such performance awards (which may be achieved above or below the target number of shares) and Ms. Lima-Guinehut is employed by the Company on the respective vesting dates, subject to the terms and conditions of the Plan. |
