The Fund's fiscal year ending July 31, 2024, finished on a high note with the Federal Reserve Chair Jerome Powell's comments in the recent Federal Open Market Committee press conference seemingly supportive of a September rate cut. The positive tone, in turn, added momentum to Treasury yields which had been declining since the beginning of July. In our view, the Fund performed well during the year in spite of the interest rate and credit spread volatility resulting from the cross-currents of the market expecting an interest rate easing cycle to begin earlier in 2024 and the surprisingly strong economic data which delayed the Fed's actions.
The Fund's weighting of convertible and corporate bond exposure drove its outperformance for the year. The corporate bond holdings benefited from higher income generation and price appreciation from corporate spread compression relative to the benchmark's majority Treasury holdings. Additionally, the level of equity sensitivity that the Fund carries through its convertible bond exposure drove outperformance as strong equity returns prevailed.
The Fund will continue seeking to optimize its holdings between corporate and convertible bonds in an effort to maximize total return through current income and capital appreciation.
For the one-year and five-year periods, as well as since inception, the Fund has outperformed its regulatory benchmark, the Bloomberg U.S. Aggregate Bond Index. The outperformance can be attributed to active management, utilizing a bottom-up investment approach to selecting individual securities and positioning the overall portfolio in regards to duration and credit quality in pursuit of the Fund's objectives.

In our view, the Fund performed well during the year in spite of the interest rate and credit spread volatility resulting from the cross-currents of the market expecting an interest rate easing cycle to begin earlier in 2024 and the surprisingly strong economic data which delayed the Fed's actions.
The Fund's overweight exposure to corporate bonds relative to Treasuries and a shorter duration profile relative to the benchmark, were the underpinnings for the Fund's outperformance. Higher income generation from corporate bonds relative to Treasuries, coupled with price appreciation driven by contracting spreads, contributed to overall positive performance. Interest rates, although volatile during the year, ratcheted down on the short end of the curve while longer rates remained relatively unchanged year-over-year.
The Fund's strategy can adjust to accommodate the shifting yield curve and to position it in an optimal manner as it pursues its investment objectives of preserving capital, producing income and maximizing total return.
For the one-year and five-year periods, as well as since inception, the Fund has outperformed its regulatory benchmark, the Bloomberg U.S. Aggregate Bond Index. The outperformance can be attributed to active management, utilizing a bottom-up investment approach to selecting individual securities and positioning the overall portfolio in regards to duration and credit quality in pursuit of the Fund's objectives.

As of the end of the period covered by this report, the registrant has adopted a code of ethics that applies to the registrant's principal executive officer, principal financial officer, principal accounting officer or controller, or persons performing similar functions, regardless of whether these individuals are employed by the registrant or a third party. Pursuant to Item 12(a)(1), a copy of registrant's code of ethics is filed as an exhibit to this Form N-CSR. During the period covered by this report, the code of ethics has not been amended, and the registrant has not granted any waivers, including implicit waivers, from the provisions of the code of ethics.

The registrant's board of trustees has determined that the registrant has at least one audit committee financial expert serving on its audit committee. The name of the audit committee financial expert is Virginia A. Boeckman. Ms. Boeckman is "independent" for purposes of this item.

1. | Organization |
Eubel Brady & Suttman Income and Appreciation Fund ("EBS Income and Appreciation Fund") and Eubel Brady & Suttman Income Fund ("EBS Income Fund") (individually, a "Fund" and collectively, the "Funds") are each a no-load diversified series of Eubel Brady & Suttman Mutual Fund Trust (the "Trust"), an open-end management investment company organized as an Ohio business trust on April 22, 2014.
The investment objective of EBS Income and Appreciation Fund is to provide total return through a combination of current income and capital appreciation.
The investment objective of EBS Income Fund is to preserve capital, produce income and maximize total return.
2. | Significant Accounting Policies |
The Funds follow accounting and reporting guidance under Financial Accounting Standards Board ("FASB") Accounting Standards Codification Topic 946, "Financial Services - Investment Companies." The following is a summary of significant accounting policies followed by the Funds. These policies are in conformity with accounting principles generally accepted in the United States of America ("GAAP").
Regulatory update - Tailored Shareholder Reports for Mutual Funds and Exchange-Traded Funds ("ETFs") - Effective January 24, 2023, the Securities and Exchange Commission (the "SEC") adopted rule and form amendments to require mutual funds and ETFs to transmit concise and visually engaging streamlined annual and semi-annual reports to shareholders that highlight key information. Other information, including financial statements, will no longer appear in a streamlined shareholder report but must be available online, delivered free of charge upon request, and filed on a semi-annual basis on Form N-CSR. The rule and form amendments have a compliance date of July 24, 2024. The Funds have adopted the rule and are currently adhering to the requirements.
Securities Valuation - Each Fund values it's portfolio securities at fair value as of the close of regular trading on the New York Stock Exachange (the "NYSE) (normally 4:00 p.m. Eastern time) on each day the NYSE is open for business. Securities that are traded on any stock exchange are generally valued at the last quoted sale price. Lacking a last sale price, an exchange traded security is generally valued at its last bid price. Securities traded on NASDAQ are generally valued at the NASDAQ Official Closing Price. Investments representing shares of other open-end investment companies, including money market funds, are valued at their net asset value ("NAV") as reported by such companies. The Funds typically use an independent pricing service to determine the value of their fixed income securities. The pricing

service utilizes electronic data processing techniques based on yield spreads relating to securities with similar characteristics to determine prices for normal institutional-size trading units of fixed income securities without regard to sale or bid prices. Commercial paper may be valued at amortized cost, which under normal circumstances approximates market value.
If Eubel Brady & Suttman Asset Management, Inc. (the "Adviser"), the investment adviser to the Funds and the Valuation Designee, determines that a price provided by the pricing service does not accurately reflect the market value of the securities or, when prices are not readily available from the pricing service, securities are valued at fair value as determined in good faith by the Valuation Designee in conformity with guidelines adopted by and subject to review by the Board of Trustees of the Trust (the "Board").
GAAP establishes a single authoritative definition of fair value, sets out a framework for measuring fair value and requires additional disclosures about fair value measurements.
Various inputs are used in determining the value of each Fund's investments. These inputs are summarized in the three broad levels listed below:

Certain fixed income securities held by the Funds are classified as Level 2 since the values are typically provided by an independent pricing service that utilizes various "other significant observable inputs" as discussed above. Other fixed income securities (including certain corporate bonds and bank debt) held by the Funds, are classified as Level 3 since the values for these securities are based on prices derived from one or more significant inputs that are unobservable. The inputs or methodology used are not necessarily an indication of the risks associated with investing in those securities. The inputs used to measure fair value may fall into different levels of the fair value hierarchy. In such cases, for disclosure purposes, the level in the fair value hierarchy within which the fair value measurement falls in its entirety is based on the lowest level input that is significant to the fair value measurement.

Share Valuation - The NAV per share of each Fund is calculated daily by dividing the total value of its assets, less liabilities, by the number of shares outstanding. The offering price and redemption price per share of each Fund is equal to its NAV per share.

Estimates - The preparation of financial statements in conformity with GAAP requires management to make estimates and assumptions that affect the reported amounts of assets and liabilities and disclosures of contingent assets and liabilities at the date of the financial statements and the reported amounts of increases and decreases in net assets from operations during the reporting period. Actual results could differ from those estimates.
Investment Income, Investment Transactions and Realized Capital Gains and Losses - Dividend income is recorded on the ex-dividend date. Non-cash dividends included in dividend income, if any, are recorded at the fair market value of the security received. Interest income is recorded as earned. Discounts and premiums on fixed income securities are amortized using the effective interest method and is included in interest income. Investment transactions are accounted for on trade date. Realized capital gains and losses on investments sold are determined on a specific identification basis.
Expenses - Expenses of the Trust that are directly identifiable to a specific Fund are charged to that Fund. Expenses which are not readily identifiable to a specific Fund are allocated in such a manner as deemed equitable.
Distributions to Shareholders - Distributions to shareholders of net investment income, if any, are paid monthly. Capital gain distributions, if any, are distributed to shareholders annually. Distributions are based on amounts calculated in accordance with applicable federal income tax regulations, which may differ from GAAP. These differences are due primarily to differing treatments of income and realized capital gains on various investment securities held by the Funds, timing differences and differing characterizations of distributions made by the Funds. Federal Income Tax - Each Fund has qualified and intends to continue to qualify each year as a "regulated investment company" under Subchapter M of the Internal Revenue Code of 1986, as amended (the "Code"). Qualification generally will

relieve the Funds of liability for federal income taxes to the extent 100% of their net investment income and net realized capital gains are distributed in accordance with the Code.
In order to avoid imposition of the excise tax applicable to regulated investment companies, it is also each Fund's intention to declare as dividends in each calendar year at least 98% of its net investment income (earned during the calendar year) and 98.2% of its net realized capital gains (earned during the twelve months ended October 31) plus undistributed amounts from prior years.

For the year ended July 31, 2024, EBS Income and Appreciation Fund and EBS Income Fund reclassified $420 and $51,528, respectively, of accumulated deficit against paid-in capital on the Statements of Assets and Liabilities. Such reclassification, the result of permanent differences between the financial statement and income tax reporting requirements, had no effects on the Fund's net assets or NAV per share.
The Funds recognize the tax benefits or expenses of uncertain tax positions only when the position is "more likely than not" to be sustained assuming examination by tax authorities. Management has reviewed each Fund's tax positions for all open tax years (generally, three years) and has concluded that no provision for unrecognized tax benefits or expenses is required in these financial statements. Each Fund identifies its major tax jurisdiction as U.S. Federal.
The Funds recognize interest and penalties, if any, related to unrecognized tax benefits as income tax expenses on the Statements of Operations.

Pursuant to an Asset-Based Lending Credit Agreement between the Funds and NCP SVP Texas, L.P. (the "Borrower"), the Borrower has agreed to pay the Funds a commitment fee equal to 0.25% of the average daily unfunded commitment balance, which is included within interest income on the Statements of Operations.
4. | Transactions with Related Parties |
Certain officers of the Trust are also officers of the Adviser, of Ultimus Fund Solutions, LLC ("Ultimus"), the administrative services agent, shareholder servicing and transfer agent, and accounting services agent for the Funds, or of Ultimus Fund Distributors, LLC (the "Distributor"), the principal underwriter and exclusive agent for the distribution of shares of the Funds.
Investment Adviser - Under the terms of the Management Agreement between the Trust and the Adviser, the Adviser manages each Fund's investments subject to oversight by the Board. The Funds do not pay the Adviser investment advisory fees under the Management Agreement. However, prior to investing in a Fund, a prospective shareholder must enter into an investment advisory agreement with the Adviser that calls for the payment of an advisory fee based upon a percentage of all assets (including shares of the Funds) managed by the Adviser on behalf

of the prospective shareholder. The fee schedule may be negotiable at the time the account is opened and is generally based upon the value of assets held in the client's account and the style of management.
The Adviser has entered into an agreement with the Funds under which it has agreed to reimburse Fund expenses to the extent necessary to limit total annual operating expenses (excluding brokerage costs, taxes, interest, acquired fund fees and expenses, expenses incurred pursuant to the Funds' Shareholder Servicing Plan and extraordinary expenses) to an amount not exceeding 0.35% of each Fund's average daily net assets. Any payments by the Adviser of expenses which are a Fund's obligation are subject to repayment by the Fund for a period of three years following the date on which such expenses were paid, provided that the repayment does not cause the Fund's total annual operating expenses to exceed the lesser of: (i) the expense limitation in effect at the time such expenses were reimbursed; and (ii) the expense limitation in effect at the time the Adviser seeks reimbursement of such expenses. This agreement is currently in effect until December 1, 2025. No expense reimbursements were required during the year ended July 31, 2024.
Administrator - Ultimus provides administration, fund accounting and transfer agency services to each Fund. The Funds pay Ultimus fees in accordance with the agreements for such services. In addition, the Funds pay out-of-pocket expenses including, but not limited to, postage, supplies and certain costs related to the pricing of the Funds' portfolio securities.
Compensation of Trustees - Trustees and officers affiliated with the Adviser or Ultimus are not compensated by the Funds for their services. Effective January 1, 2024, each Trustee who is not an interested person of the Trust receives from the Funds a fee of $3,281 for attendance at each meeting of the Board, in addition to reimbursement of travel and other expenses incurred in attending the meetings. The Chairperson of the Audit and Governance Committee receives an additional annual fee of $1,250, paid quarterly.

6. | Shareholder Servicing Plan |
The Funds have adopted a Shareholder Servicing Plan (the "Plan") which allows each Fund to make payments to financial organizations (including payments directly to the Adviser and the Distributor) for providing account administration and account maintenance services to Fund shareholders. The annual fees paid under the Plan may not exceed an amount equal to 0.25% of each Fund's average daily net assets. During the year ended July 31, 2024, EBS Income and Appreciation Fund and EBS Income Fund incurred $65,332 and $160,560, respectively, of shareholder servicing fees pursuant to the Plan. No payments were made to the Adviser or the Distributor during the year ended July 31, 2024.
7. | Contingencies and Commitments |
The Funds indemnify the Trust's officers and Trustees for certain liabilities that might arise from the performance of their duties to the Funds. Additionally, in the normal course of business the Funds enter into contracts that contain a variety of representations and warranties and which provide general indemnifications. The Funds' maximum exposure under these arrangements is unknown, as this would involve future claims that may be made against the Funds that have not yet occurred. However, based on experience, the Funds expect the risk of loss to be remote.
8. | Sector Risk |
If a Fund has significant investments in the securities of issuers in industries within a particular sector, any development affecting that sector will have a greater impact on the value of the net assets of the Fund than would be the case if the Fund did not have significant investments in that sector. In addition, this may increase the risk of loss of an investment in the Fund and increase the volatility of the Fund's NAV per share. From time to time, circumstances may affect a particular sector and the companies within such sector. For instance, economic or market factors, regulation or deregulation, and technological or other developments may negatively impact all

companies in a particular sector and therefore the value of the Fund's portfolio will be adversely affected. As of July 31, 2024, EBS Income Fund had 26.4% of the value of its net assets invested in securities within the Financials sector.
9. | Subsequent Events |
The Funds are required to recognize in the financial statements the effects of all subsequent events that provide additional evidence about conditions that existed as of the date of the Statements of Assets and Liabilities. For non-recognized subsequent events that must be disclosed to keep the financial statements from being misleading, the Funds are required to disclose the nature of the event as well as an estimate of its financial effect, or a statement that such an estimate cannot be made. Management has evaluated subsequent events through the issuance of these financial statements and has noted no such events.

We have audited the accompanying statements of assets and liabilities, including the schedules of investments, of Eubel Brady & Suttman Income and Appreciation Fund and Eubel Brady & Suttman Income Fund (the "Funds"), each a series of Eubel Brady & Suttman Mutual Fund Trust, as of July 31, 2024, the related statements of operations for the year then ended, the statements of changes in net assets for each of the two years in the period then ended, the financial highlights for each of the five years in the period then ended, and the related notes (collectively referred to as the "financial statements"). In our opinion, the financial statements present fairly, in all material respects, the financial position of each of the Funds as of July 31, 2024, the results of their operations for the year then ended, the changes in net assets for each of the two years in the period then ended, and the financial highlights for each of the five years in the period then ended, in conformity with accounting principles generally accepted in the United States of America.
Basis for Opinion
These financial statements are the responsibility of the Funds' management. Our responsibility is to express an opinion on the Funds' financial statements based on our audits. We are a public accounting firm registered with the Public Company Accounting Oversight Board (United States) ("PCAOB") and are required to be independent with respect to the Funds in accordance with the U.S. federal securities laws and the applicable rules and regulations of the Securities and Exchange Commission and the PCAOB.
We conducted our audits in accordance with the standards of the PCAOB. Those standards require that we plan and perform the audit to obtain reasonable assurance about whether the financial statements are free of material misstatement whether due to error or fraud.
Our audits included performing procedures to assess the risks of material misstatement of the financial statements, whether due to error or fraud, and performing procedures that respond to those risks. Such procedures included examining, on a test basis, evidence regarding the amounts and disclosures in the financial statements. Our procedures included confirmation of securities owned as of July 31, 2024, by correspondence with the custodians and agent banks. Our audits also included evaluating the accounting

For the fiscal year ended July 31, 2024, EBS Income and Appreciation Fund designated $288,323 as a long-term capital gain distribution.
Qualified Dividend Income - EBS Income and Appreciation Fund and EBS Income Fund designates 0.65% and 0%, respectively, or up to the maximum amount of such dividends allowable pursuant to the Internal Revenue Code, as qualified dividend income eligible for the reduced tax rate.
Dividends Received Deduction - Corporate shareholders are generally entitled to take the dividends received deduction on the portion of a fund's dividend distribution that qualifies under tax law. For EBS Income and Appreciation Fund and EBS Income Fund's fiscal year 2024 ordinary income dividends, 1.04% and 0%, respectively, qualifies for the corporate dividends received deduction.

The Board of Trustees, including all the Independent Trustees voting separately, has reviewed and approved the continuance of the Investment Advisory Agreement between the Trust, on behalf of the Eubel Brady & Suttman Income and Appreciation Fund (the "Appreciation Fund") and the Eubel Brady & Suttman Income Fund (the "Income Fund") (the Income and Appreciation Fund and the Income Fund are referred to collectively as the "Funds"), and the Adviser. Approval took place at an in-person meeting held on June 24, 2024, at which all Trustees were present, including all the Independent Trustees.
In the course of their consideration of the continuation of the Investment Advisory Agreement, the Independent Trustees were advised by independent legal counsel and received materials from their counsel discussing the legal standards for their consideration of the proposed approval of the continuation of the Investment Advisory Agreement on behalf of the Funds. The Independent Trustees received and reviewed information provided by the Adviser in response to requests from independent legal counsel. Prior to voting, the Independent Trustees met with and asked questions of representatives of the Adviser and also met separately with their independent legal counsel.
In considering the Investment Advisory Agreement and reaching their conclusions with respect to the continuation of the Investment Advisory Agreement, the Trustees reviewed and analyzed various factors that they determined were relevant, including the factors described below.
Nature, Extent and Quality of Services
The Trustees considered various information regarding the nature, extent and quality of services provided to the Funds by the Adviser, including the credentials and tenure of the members of the Research Group who are responsible for the Funds' daily portfolio management. The Independent Trustees considered the ability of the Adviser to attract and retain talent and the ancillary services the Adviser provides to the Funds in addition to portfolio management. They were mindful of the resources the Adviser has directed towards the development of its cybersecurity and business continuity programs, the supervisory and administrative services that are provided to the Funds, and the personalized services that are provided to shareholders. The Board considered the policies and systems the Adviser has established to maintain compliance with applicable laws and regulations and its efforts to keep the Trustees informed about matters relative to the Funds and their shareholders. They noted that the Adviser keeps the Board informed on a quarterly basis on developments affecting the performance of the Funds and the factors that have influenced the economy and the financial markets. After further discussion, the Board concluded that it was satisfied with the nature, extent, and quality of the investment advisory services the Adviser has provided to the Funds.

Expenses and Performance
The Trustees next considered information regarding each Fund's expense ratio and comparative peer group expense information, as presented by the Adviser. The Appreciation Fund's overall expense ratio was compared to funds within the Morningstar category of "Convertible Bond Funds" (no load), while the Income Fund's overall expense ratio was compared to funds within the Morningstar category of "Multisector Bond Funds" (no load). The Trustees noted that the overall expense ratio of the Appreciation Fund, which does not include a charge for advisory fees paid at the client account level, is lower than the average expense ratio for Convertible Bond Funds, while the overall expense ratio of the Income Fund, which does not include a charge for advisory fees at the client account level, is lower than the average expense ratio for Multisector Bond Funds. The Trustees also considered the range of advisory fees charged by the Adviser at the client account level and applied that range to the overall expense ratio of each Fund to estimate total costs to underlying shareholders. The Trustees found that the expense ratio for each Fund, which included an estimated advisory fee charged at the client account level, was within the range of the average expense ratios for the peer groups presented and concluded that each Fund's expense ratio was reasonable. The Trustees also considered the Adviser's commitment to extend each Fund's expense cap arrangements for an additional annual period.
The Trustees next discussed each Fund's performance record over short and longer-term periods ended March 31, 2024, as compared to the performance of its benchmark indices and Morningstar category average. The Board was mindful that the comparative indices selected as peer groups to gauge the relative performance of the Funds represent a wide spectrum of investments and their relevance as a performance metric varies depending upon the extent of similarities between the composition of the indices and the securities held by the Funds. The Trustees noted that for the one-year, five-year and since inception periods ended March 31, 2024, the Income Fund had exceeded the performance of its benchmark index, while the Appreciation Fund had trailed the performance of its benchmark index. Mr. Lundy then compared the performance of the Funds with the performance of their Morningstar fund categories for the one- and five-year periods ending March 31, 2024, noting that each Fund underperformed its Morningstar category average during both periods, except the Appreciation Fund exceeded its Morningstar category average during the one-year period. The Independent Trustees noted that during the past year, the Income Fund's orientation towards the shorter end of the yield curve and minimal government exposures had been productive by allowing the Fund to be impacted less by rising yields than its benchmark and acknowledged that the Appreciation Fund had been negatively impacted by its lower equity sensitivity. The Independent Trustees considered other factors, including (i) the consistency of the Adviser's investment process; (ii) the Adviser's conservative investment discipline; (iii) that the Income Fund

has also benefitted from the ability of the Adviser to position the Fund to appreciate in a higher interest rate environment by locking in higher yields over the longer-term period; and (iv) that the lack of opportunities in the convertible securities market has impacted the Appreciation Fund's relative performance results. Being mindful that the Adviser does not sub-advise any accounts with similar investment objectives as the Funds, the Trustees discussed the performance of the Adviser's SMA strategies that hold shares of the Funds. After considering each factor, the Independent Trustees concluded that the Adviser has demonstrated a satisfactory performance record for each Fund and its continued management is likely to benefit the Funds and their shareholders.
Investment Advisory Fee Rates
The Trustees considered that the Adviser is being compensated by each client under the terms described in their respective SMA investment advisory agreements and the Adviser does not charge an investment advisory fee at the Fund level. The Trustees reviewed and considered the range of advisory fees payable to the Adviser for SMA services and compared such information with the fees charged by the other funds in the relevant Morningstar peer group for each Fund. The Trustees concluded that the advisory fee ranges charged at the SMA account level were reasonable in relation to the average rates for the peer groups presented, and the clients generally received more services for their fees than many other funds in the relevant Morningstar peer group categories.
Profitability
The Trustees reviewed information regarding the Adviser's cost of providing services to the Funds and the methods that were used to determine profitability. They discussed the profits of the Adviser and the other ancillary benefits the Adviser receives with regard to providing advisory services to the Funds. The Independent Trustees considered that the Adviser's profitability is based in part on the aggregate net assets of the Funds and that the Adviser has committed to continue to maintain expense caps for the Funds through December 1, 2025. Following a discussion of the profits and expenses of the Adviser, it was the conclusion of the Independent Trustees that the profits of the Adviser are not unreasonable and represent a fair and entrepreneurial profit, in light of the quality and scope of services that are provided by the Adviser.
Economies of Scale
The Independent Trustees considered the extent to which shareholders of the Funds have realized economies of scale. They noted that shareholders of the Funds have the ability to recognize economies of scale through the fee breakpoints that are provided in the SMA fee structure at the client account level for certain strategies. The Independent Trustees further noted that due to the asset size of the Funds, each Fund is operating below the agreed upon expense cap.

The Trustees did not identity any single factor as all-important or controlling in their determination to approve the continuation of the Investment Advisory Agreement. The Trustees, including all the Independent Trustees, concluded that the terms of the Investment Advisory Agreement were fair and reasonable and that the continuance of the Investment Advisory Agreement was in the best interests of each Fund and its shareholders.
