Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 9, 2024, following the recommendation of the Compensation Committee of the Board of Directors of Mega Matrix Corp. (the "Company"), the Board of Directors of the Company, in recognition of Mr. Yucheng Hu, the Company's Chief Executive Officer and Chairman, for his exceptional leadership and contribution to the Company's goals, approved a discretionary cash bonus of $144,000, payable as follows: 25% on September 15, 2024, 25% on October 15, 2024, 25% on November 15, 2024, and 25% on December 15, 2024.
