Voluntary public offer to the shareholders of Marel hf.

On 24 June 2024, John Bean Technologies B.V. (the "Offeror"), a Dutch company wholly owned by John Bean Technologies Corporation ("JBT"), a leading global technology solutions provider to high-value segments of the food and beverage industry, made a voluntary public takeover offer to the shareholders of Marel hf. in accordance with the provisions of the Icelandic Act no. 108/2007 on Takeover, based on the terms and conditions set out in an offer document, dated the same day, which has been approved by the Financial Supervisory Authority of the Central Bank of Iceland (the "Offer Document") (the "Offer").

The Offeror has decided to (i) amend the settlement period of the Offer to the effect that the settlement of the Offer shall take place no later than five (5) business days from the expiration date of the Offer instead of three (3) business days and (ii) amend the offer period so the Offer shall expire at 12:00 p.m. Icelandic time on 20 December 2024 instead of 17:00 p.m. Icelandic time. The purpose of the amendments is to ensure a safe and smooth settlement of the Offer towards the shareholders of Marel.

The Offeror intends to publish a supplement to the Offer Document with the aforementioned amendments that will be dated 27 November 2024 and available on the websites of JBT (jbtc.com), Marel (marel.com) and Arion Banki hf. (arionbanki.is).
