Amendments to Bylaws Form 8 K

Item 5.03 Amendment to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On November 20, 2024, Elevai Labs Inc. (the "Company") the Company amended its amended and restated bylaws ("Bylaws") to change the quorum requirement for shareholder meetings from a majority to one-third (1/3) of the voting power of the Company's outstanding shares entitled to vote at a meeting. A copy of the Certificate of Amendment of the Bylaws of the Company is filed herein as Exhibit 3.1 and is incorporated herein by reference.
