Amendments to Bylaws Form 8 K

Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On October 8, 2024, Minim, Inc. (the "Company") filed an amended and restated certificate of designation increasing its designated Series A Convertible Preferred Stock from 2,000,000 to 3,000,000. The Company did so in order to have additional equity available to reduce certain accounts payable.
