Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 6, 2024, Nathan Hardy notified Sana Biotechnology, Inc. (the "Company") that he intends to resign from his position as Executive Vice President and Chief Financial Officer of the Company effective October 4, 2024. Mr. Hardy resigned voluntarily for personal reasons and not as a result of any disagreement with the Company on any matter, including related to the Company's operations, policies, practices or otherwise.
