Cenora to Acquire RCA for $4.6B

Fried Frank acted as counsel to Lazard as financial advisor to Cencora, Inc. ("Cencora") (NYSE: COR) in its $4.6 billion acquisition of Retina Consultants of America ("RCA"). Cencora is a drug wholesale company and a contract research organization. RCA is a management services organization (MSO) of retina specialists. RCA's affiliated practices, physicians and management will retain a minority interest in RCA, with Cencora holding approximately 85% ownership in RCA upon closing.
