Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On October 3, 2024, Carl N. Scibetta, the Senior Executive Vice President, Chief Merchandising Officer of Shoe Carnival, Inc. (the "Company"), notified the Company of his decision to retire during the spring of 2025 after over 50 years in the retail industry and over a decade of dedicated service to the Company. The Company plans to name a successor to Mr. Scibetta in early 2025. Mr. Scibetta will remain as the Company's Senior Executive Vice President, Chief Merchandising Officer until his retirement to facilitate a smooth transition with his successor during fiscal 2025.
