State below in reasonable detail the reasons why Form 10-K, 11-K, 20-F, 10-Q, N-SAR or the transition report portion thereof could not be filed within the prescribed time period.

Gresham Worldwide, Inc. (the "Company") is unable to file the Quarterly Report on Form 10-Q for the quarter ended June 30, 2024 (the "Form 10-Q") in a timely manner without unreasonable effort or expense. The reason is that the pressures from the litigation filed by a noteholder in New York and the potential consequences has diverted management. In addition, the Company has not been able to pay its auditors which has delayed their review. The Company has filed a petition for reorganization under Chapter XI of the bankruptcy laws on August 14, 2024 and expects it will file its Form 10-Q within the five-day period if it can obtain funding to pay its auditors.

Our revenue increased to $10,655,000 for the quarter ended June 30, 2024 from $8,778,000 for the quarter ended June 30, 2023. We expect to report comprehensive income of 1,389,000 in contrast to a comprehensive loss of 2,644,000 The income is due to an Generally Accepted Accounting Principles requiring the company to book other income arising from the convertible notes which are in default. For the quarter ended June 30, 2024, the Company expects to report a $118,000 loss from continuing operations in contrast to a loss from continuing operations of $1,146,000 for the quarter ended June 30, 2023. For the six months ended June 30, 2024, the Company expects to report a $2,874,000 loss from continuing operations in contrast to a loss from continuing operations of $4,937,000 for the six months ended June 30, 2023.

The expected results of operation set forth above are subject to change and completion of the auditor's review.
