Item 5.07 Submission of Matters to a Vote of Security Holders.

A Special Meeting of Stockholders (the "Special Meeting") of Ocean Power Technologies, Inc. (the "Company"), was held on August 30, 2024. The voting results reported herein are the final, certified voting results for each proposal presented at the Special Meeting. At the Special Meeting, the following proposal was voted on by the stockholders of the Company: to approve an amendment to the Company's Certificate of Incorporation to increase the number of authorized shares of common stock, par value $.001 per share, from 100,000,000 to 200,000,000.
