Invitation and materials for a GSM

Investbank AD, in the capacity as a trustee of the holders of bonds issued by BGI Group AD, ISIN BG2100011142, convened a General Meeting of Bondholders on 12 August 2024 at 10:30 am in Sofia at 6 Dobrudzha St., fl. 3, under the following agenda:
- Consent to rescheduling and partial amendments to the parameters of the bond issue, ISIN BG2100011142, namely:
1) Extension of the term of the bond by sixty (60) months
2) Changing the maturity date of the bond to 03 December 2029, when the bond will be repaid at once
3) Fixing the interest rate of the bond loan to 4% p.a. over the extension of the bond loan
4) Interest payments will be paid every six (6) months (twice a year) on the dates specified in the GMB invitation, and given changes the next one will be on 03 December 2024 calculated for the principal amount of BGN 3,962,000.
5) The rest of the bond loan parameters remain unchanged.
- Consent to a change of the parameters of the bond loan collateral (signing a supplement to the insurance policy with OZK-Insurance AD) to reflect the changes in the terms of the bond issue, ISIN BG2100011142, according to the decision under the previous item
- In lack of quorum, the GMB will be held on 26 August 2024 at 10:30 am, same place and agenda.
The right to participate in the GMB will be entitled to all holders of bonds, ISIN BG2100011142, registered with the central securities register five (5) days before the GMB date (Record Date).
