(1) Restricted stock units convert to common stock on a one-for-one basis.
(2) Shares were withheld by the issuer to satisfy tax withholding obligations in connection with vesting of restricted stock units.
(3) This transaction involved a gift of securities by the reporting person to each of his two children sharing the reporting person's household. The reporting person disclaims beneficial ownership of the shares held by his children, and this report should not be deemed an admission that the reporting person is the beneficial owner of his children's shares for purposes of Section 16 or for any other purpose.
(4) On 1/28/2021 the reporting person was granted 1,336 restricted stock units, 12.5% of the restricted stock units vest semi-annually (a) on the first six-month anniversary of the first day of the first full calendar month following the award date (the "Initial Vest Date"), and (b) on each of the seven subsequent six-month anniversaries of the Initial Vest Date. Vested shares will be delivered to the reporting person on the designated vest dates. If a vesting date falls on a weekend or any other day on which the Nasdaq Stock Market ("NSM") or any national securities exchange on which the Common Stock then is principally traded (the "Exchange") is not open, affected RSUs shall vest on the next following NSM or Exchange business day, as the case may be.
(5) The grant of 3,370 restricted stock units vests at 12.5% every six months beginning on August 1, 2022. If a vesting date falls on a day on which the securities exchange is closed, affected RSUs shall vest on the next securities exchange business day.
(6) The grant of 3,715 restricted stock units vests at 12.5% every six months beginning on August 1, 2023. If a vesting date falls on a day on which the securities exchange is closed, affected RSUs shall vest on the next securities exchange business day.
