PART III - NARRATIVE

State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

Montana Technologies Corporation (the "Company") determined that it was unable, without unreasonable effort or expense, to file its Quarterly Report on Form 10-Q for the quarter ended June 30, 2024 (the "Q2 Form 10-Q") with the Securities and Exchange Commission (the "SEC") by the prescribed due date for the reasons described below.

As previously disclosed in the Company's Form 8-K filed with the SEC on August 13, 2024, the Company intends to restate its financial statements for the three months ended March 31, 2024 (the "Q1 Financial Statements"), which will be filed as an amendment to the Form 10-Q filed with the SEC on May 20, 2024 for the quarter ended March 31, 2024. The Company is working diligently to file this amendment as soon as reasonably practical.

As a result of the foregoing and the time and dedication of resources needed to restate the Q1 Financial Statements prior to filing the Q2 Form 10-Q, the Company was unable to file the Q2 Form 10-Q by the prescribed due date without unreasonable effort or expense. The Company is working diligently and currently expects to file the Q2 Form 10-Q within five calendar days of the prescribed due date.
