Medigene AG: Capital reduction of registered shares at a rate of 2:1

Effective value date 2 September 2024, there will be a capital reduction of Medigene AG registered shares (ISIN DE000A1X3W00) at a ratio of 2:1 in Medigene AG: fractional shares (ISIN DE000A40ESF4).

The relevant processing stages and their sequence are described below.

Re-registration stop

It will not be possible to create and forward re-registration and initial registration instructions in the class of Medigene AG registered shares (ISIN DE000A1X3W00) in CASCADE-RS between 29 August 2024 and 2 September 2024. The system will automatically delete re-registration or initial registration instructions that are pending in CASCADE-RS during this period.

Entering and transferring instructions for re-registration or initial registration in the class Medigene AG converted registered shares (ISIN DE000A40ESG2) is possible starting from 2 September 2024.

Removal of registered shares from the books

On 30 August 2024 and in preparation for the removal, Clearstream Banking AG¹ will automatically transfer the registered positions in Medigene AG registered shares (ISIN DE000A1X3W00) to Freier Meldebestand (FMB, unregistered positions) of the respective bank via position transfer.

Positions in Medigene AG registered shares (ISIN DE000A1X3W00) will be removed for value date 2 September 2024.

Entry of share fractions

The Medigene AG fractional rights (ISIN DE000A40ESF4) will be transferred to the banks at a rate of 2:1 with the value date of 2 September 2024. This means that banks will receive one Medigene AG fractional share (ISIN DE000A40ESF4) for every two Medigene AG registered shares (ISIN DE000A1X3W00).

Exchange of share fractions into original shares

From 2 to 16 September 2024, clients may exchange Medigene AG fractional rights (ISIN DE000A40ESF4) into converted shares of Medigene AG (ISIN DE000A40ESG2). For this purpose, please use the transaction KVEE WE (securities transfer) with the fractional rights indicator TR 3 in CASCADE:

Stock exchange trades, CCP and OTC transactions

Stock exchange and CCP transactions still pending on the evening of 30 August 2024 will be converted automatically, that is, the class of Medigene AG (ISIN DE000A1X3W00) is converted to Medigene AG fractional rights (ISIN DE000A40ESF4), adjusting the nominal value at a rate of 2:1.

CASCADE OTC transactions will not be converted automatically.

Registration of shareholders via re-registration

After the capital reduction, the custodian banks must enter the shareholders of Medigene AG converted registered shares (ISIN DE000A40ESG2) in the company's share register via re-registration. This will be possible from 2 September 2024. The nominal value after the capital reduction must be used.

Note for LIMA users

Due to the processing capacities in CASCADE-RS, submissions amounting to 10,000 re-registrations or more per transfer must be agreed in advance with Client Services. CBF reserves the right to reject file transfers that have not been agreed upon within the scope of overall coordination.
