Greenberg Traurig Advises SEGA SAMMY CREATION INC. on Acquisition of Stakelogic B.V.

AMSTERDAM - 29 July 2024 -Greenberg Traurig, LLP advised SEGA SAMMY CREATION INC., a SEGA SAMMY HOLDINGS INC. company, on its agreement to fully acquire Stakelogic B.V. from its shareholders, a technology-driven, fast growing Dutch game developer for an upfront enterprise value of €130 million and an earnout payment subject to certain performance measures being met. The transaction combines Stakelogic's catalogue of highly popular online slot games, live casino studio capabilities, fast-growing hybrid game offering, and in-house game development factory with Sega Sammy's global distribution platform.

GT serves as legal counsel to Sega Sammy, with a team led by Koji Ishikawa, Bas Vletter, Rutger Sterk and Simon Chen, with the assistance of Greenberg Traurig's Gaming Licensing and Regulation Practice in the US, led by Ed Winkofsky. SMBC Nikko acts as SEGA SAMMY HOLDINGS' sole financial advisor. Morgan Stanley & Co. International plc and Partis Solutions act as Stakelogic's financial advisors and De Breij acts as Stakelogic's legal counsel. Closing is subject to regulatory clearance in the relevant European and US jurisdictions.
