Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 31, 2024, Hawkeye Systems, Inc. (the "Company") was informed by Chris Mulgrew, the Company's Chief Financial Officer and Director, that he will resign from such positions effective August 31, 2024. Mr. Mulgrew's resignation was not because of any disagreement with the Company on any matter relating to the Company's operations, policies or practices, including accounting principles and practices.
