Norton Rose Fulbright advises M Group on acquisition of BGEN Ltd

Global law firm Norton Rose Fulbright has advised M Group Services (M Group) on the acquisition of BGEN Ltd (BGEN), one of the UK's largest independent technical engineering solutions businesses.

BGEN provides specialist mechanical, electrical, instrumentation, control, and automation (MEICA) capabilities to regulated end markets including power and energy, water, pharmaceutical, and industrial sectors.

Three subsidiaries of BGEN - BES, Norwood and BFP - which provide fully integrated engineering services, are also part of the acquisition.

M Group has a proven track record of achieving growth through M&A. The acquisition of BGEN is particularly significant for M Group, being its first deal completed under the ownership of private equity firm CVC, and one that will advance M Group's technical engineering solutions offering in its core markets, while also expanding into new ones.

The London-based Norton Rose Fulbright team advising M Group on this transaction was led by corporate partner Sophie O'Connor and counsel Adam Murphy supported by associates Jack Whelan and Kirsty Bailey. Partners Melusi Dlamini and Dominic Stuttaford and counsel Jamie Cooke advised on key construction contracts, tax and competition aspects of the deal respectively.

Sophie O'Connor commented:

"We are pleased to have closed this transaction for M Group on a challenging timeline and in support of its energy transition to net zero strategy. We very much enjoyed working with the M Group team for the first time."

Jonathan Yarr, Executive Director - M&A, M Group, commented:

"This transaction marks an important milestone for our business. We are delighted by the support that we received from the Norton Rose Fulbright team to deliver this, and we look forward to working with the team again in future."
