Failure to Satisfy Listing Rule Form 8 K

Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

As previously disclosed in the Current Report on Form 8-K filed with the Securities and Exchange Commission (the "SEC") on November 27, 2024, the Company submitted a Transfer of Listing application to The Nasdaq Stock Market LLC ("Nasdaq") to list its securities on The Nasdaq Capital Market.

On December 11, 2024, the Company received an approval letter from Nasdaq, informing that the Company's transfer application has been approved and the Company's securities will be transferred to the Nasdaq Capital Market at the opening of business on December 13, 2024.
