Failure to Satisfy Listing Rule Form 8 K

Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On July 22, 2024, Safe and Green Development Corporation (the "Company"), received a letter (the "Notification Letter") from The Nasdaq Stock Market ("Nasdaq") stating that based on the Quarterly Report on Form 10-Q that the Company filed with the Securities and Exchange Commission for the period ended March 31, 2024, and the Company's submission to the Staff, dated May 29, 2024, it determined that the Company was in compliance with Nasdaq Listing Rule 5550(b)(1) (the "Rule"). The letter further stated that if the Company fails to evidence compliance with the Rule upon filing its next periodic report it may be subject to delisting. At that time, Nasdaq staff will provide written notification to the Company, which may then appeal the staff's determination to a Nasdaq Hearings Panel.
