The Reporting Person entered into two separate stock purchase agreements with (i) an entity managed by a member of the Issuer's board of directors (the "Board"), and (ii) an individual who is an executive officer of the Issuer. Pursuant to each stock purchase agreement, the Reporting Person agreed to sell shares of the Issuer's common stock to each purchaser at a price of $1.20 per share. The transactions are expected to close in the near future.
