State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

Pismo Coast Village, Inc. (the "Company") could not timely file without unreasonable effort or expense its Quarterly Report on Form 10-Q for the quarter ended June 30, 2024, due to delays related to the transition to the Company's new registered public accounting firm. The Form 10-Q was provided to the Company's filing agent and authorized for filing before the filing deadline. The Company filed, and the SEC confirmed receipt and acceptance of, the subject Form 10-Q on August 14, 2024, shortly after the close of processing hours. The filing date of the Company's Form 10-Q will be August 15, 2024, which is within the five-day extension period provided under Rule 12b-25 of the Securities Exchange Act of 1934, as amended.
