Item 5.03Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On September 19, 2024, Optimus Healthcare Services, Inc. (the "Company") filed a certificate of amendment to the Company's amended and restated articles of incorporation, as amended (the "Charter Amendment") to increase the number of shares of capital stock authorized for issuance to one billion one hundred million and one (1,100,000,001) shares, consisting of one billion (1,000,000,000) shares of common stock and one hundred million and one (100,000,001) shares of preferred stock.
