The sole purpose of this filing is to delay the effectiveness of the Trust's Post-Effective Amendment to its Registration Statement that was filed on August 2, 2024, accession number 0001829126-24-005181 (Amendment No. 103). Amendment No. 103 to the Trust's Registration Statement relates to the Simplify Gold Strategy PLUS Income ETF, Simplify US Small Cap PLUS Income ETF, Simplify Currency ETF, and Simplify Downside Interest Rate Hedge ETF. Parts A, B and C of the Registrant's Post-Effective Amendment No. 103 under the Securities Act of 1933, as amended and Amendment No. 104 under the Investment Company Act of 1940, as amended, filed on August 2, 2024, are incorporated by reference herein.
