Pursuant to that certain Agreement and Plan of Merger, dated January 10, 2024 (the "Merger Agreement") by and among the Issuer, Hulk Merger Sub, Inc., a wholly owned subsidiary of the Issuer ("Merger Sub Inc"), Hulk LLC Sub, LLC and Southwestern Energy Company ("Southwestern"), Merger Sub Inc merged with and into Southwestern, with Southwestern surviving the Merger as a direct wholly owned subsidiary of the Issuer (the "Effective Time"). At the Effective Time, each share of Southwestern common stock was automatically converted into the right to receive 0.0867 of a share of the Issuer's common stock. Southwestern's outstanding equity awards converted according to the terms of the Merger Agreement.
