Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 17, 2024, Richard W. Roedel informed BrightView Holdings, Inc. (the "Company") that he was resigning from the Company's Board of Directors (the "Board"), effective December 31, 2024. Mr. Roedel's decision to resign from the Board is a result of personal health reasons and not the result of any disagreement on any matter relating to the Company's operations, policies or practices.
