(1) | Performance Share Units (PSUs) awarded October 15, 2021 achieved an 8% payout based on the greater of absolute revenue growth or relative performance against each direct competitor for each year of the three-year performance period. The payout was certified, and the shares issued on November 14, 2024. Each PSU is convertible into one share of common stock. |
(2) | Represents shares withheld by the Issuer to satisfy tax withholding obligations in connection with issuance of 101 shares of common stock arising from payout under Performance Share Units (PSUs) awarded on October 15, 2021. The payment was certified, and the shares were issued on November 14, 2024, each PSU convertible into one share of common stock. These shares were not issued to or sold by the Reporting Person. |
