(1) | Restricted Stock Units scheduled to vest on the earlier of (a) one day prior to the company's 2025 annual shareholder meeting and (b) December 11, 2025 (in each case subject to continued service), with immediate vesting in the event of death, disability, or involuntary termination without cause following a change of control. Restricted Stock Units settle by conversion into Common Stock on a one-for-one basis. Pursuant to the award agreement, Mr. Chen has elected for these Restricted Stock Units to settle upon separation from service on the Board of Directors. |
