State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

ECD Automotive Design, Inc. (the "Company") has determined that it is unable to file with the Securities and Exchange Commission (the "SEC") its Quarterly Report on Form 10-Q for the quarter ended September 30, 2024 (the "Form 10-Q") within the prescribed time period without unreasonable effort or expense due to the reasons described below. The management of the Company has been working diligently to complete all of the required information for the Form 10-Q, and a substantial part of such information has been completed as of this date. However, the Company requires additional time to prepare, review and finalize its financial statements to be included in the Form 10-Q.

We are required by Part IV, Item (3) of Form 12b-25 to provide as part of this filing an explanation regarding whether the results of operations we expect to report for the quarter ended September 30, 2024 will reflect significant changes from our results of operations for the quarter ended September 30, 2023. Because we have not completed our financial statements, we are unable to provide a reasonable estimate of our results of operations for quarter ended September 30, 2024. Accordingly, we cannot at this time estimate what significant changes will be reflected in our results of operations for the quarter ended September 30, 2024 compared to our results of operations for quarter ended September 30, 2023.
