On October 15, 2024, GeoVax Labs, Inc. (the "Company") increased the maximum aggregate offering price of the shares issuable under its Sales Agreement (the "Sales Agreement") with A.G.P./Alliance Global Partners, dated September 25, 2024, from $4,486,846 to $30,000,000. A copy of the legal opinion as to the legality of the shares issuable under the Sales Agreement is filed as Exhibit 5.1 attached hereto.
