As of August 1 and 2, 2024, Jefferies Credit Partners BDC Inc., a Maryland corporation (the "Company"), sold unregistered shares of common stock in the Company, par value $0.001 per share (the "Shares"), to certain third-party investors, with the final numbers of Shares being determined on August 23, 2024. As of August 15, the Company also sold Shares to a third-party investor, with the final number of Shares being determined on August 26, 2024. The offers and sales of the Shares were exempt from the registration provisions of the Securities Act of 1933, as amended (the "Securities Act"), pursuant to Section 4(a)(2) of the Securities Act, Regulation D thereunder, and/or Regulation S thereunder.
