Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On July 30, 2024, CACI International Inc (the "Company") announced the appointment of DeEtte Gray as President, U.S. Operations effective immediately. Ms. Gray, 54, has served as the Company's President, Business and Information Technology Solutions since July 2019 and previously served as the Company's President, U.S. Operations from May 2017 to July 2019.
There was no arrangement or understanding pursuant to which Ms Gray was appointed and there are no family relationships between Ms. Gray and any director or executive officer of the Company, or any person chosen by the Company to become a director or executive officer. There are no related party transactions of the kind described in Item 404(a) of Regulation S-K in which Ms. Gray was a participant.
There are no new compensatory arrangements in connection with Ms. Gray's appointment at this time.
