Mid-America
Apartments, L.P. (the "Operating Partnership") issued and sold $350 million aggregate principal amount of its 4.950% Senior Notes due 2035 (the "Notes"). The terms of the Notes are governed by an indenture dated as of May 9, 2017 between the Operating Partnership and U.S. Bank Trust Company, National Association (as successor in interest to U.S. Bank National Association), as trustee (the "Trustee"), as amended and supplemented by a ninth supplemental indenture dated as of December 18, 2024 (the "Supplemental Indenture") between the Operating Partnership and the Trustee.
The Notes bear interest at 4.950% per annum. Interest is payable semi-annually in arrears on each March 1 and September 1, commencing on September 1, 2025. The Notes will mature on March 1, 2035.
At any time prior to December 1, 2034 (three months prior to the maturity date of the Notes), the Operating Partnership will have the right, at its option, to redeem the Notes, in whole or in part, at any time and from time to time, by paying a "make-whole" premium, plus accrued and unpaid interest to, but not including, the date of redemption. In addition, on or after December 1, 2034, the Operating Partnership will have the right, at its option, to redeem the Notes, in whole or in part, at any time and from time to time, at a redemption price equal to 100% of the principal amount of the Notes to be redeemed, plus accrued and unpaid interest to, but not including, the date of redemption.
Upon the occurrence of an event of default with respect to the Notes, which includes payment defaults, defaults in the performance of certain covenants, and bankruptcy and insolvency related defaults, the Operating Partnership's obligations under the Notes may be accelerated, in which case the entire principal amount of the Notes would be immediately due and payable.
