Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 1, 2024, Dr. Hideki Garren provided Coya Therapeutics, Inc. (the "Company") with notice of his resignation from the Board of Directors, effective immediately. Dr. Garren's decision to resign was not the result of any disagreement with the Company or its management on any matter relating to the Company's operations, policies or practices, but rather to comply with his new employer's policies which prohibit Dr. Garren from serving on boards of directors for companies which develop therapeutic compounds in similar areas.
