In September 2024 Southeastern Asset Management, Inc. ("Southeastern") announced that Staley Cates would be retiring from Southeastern following a transition period, which concluded in early December 2024. Accordingly, information on Mr. Cates as a portfolio manager should be removed on pages 3, 7, 15 and 23 of the Prospectus and pages 28 and 29 of the Statement of Additional Information.
