Effective July 19, 2024, the Board of Directors of Graphic Packaging Holding Company (the "Company") appointed Mr. Andrew Callahan to the Board of Directors. Mr. Callahan will serve as one of the Class I Directors, whose terms expire in 2026. He has not yet been assigned to serve on any Committee of the Board. Mr. Callahan is an independent director of the Company and is not party to any transaction requiring disclosure pursuant to Item 404(a) of Regulation S-K promulgatedunder the Securities Exchange Act of 1934, as amended.
