In this episode of S&C's Critical Insights, Corporate Governance Co-Heads Marc TreviƱo and Melissa Sawyer and Special Counsel June Hu continue to analyze significant trends and developments that emerged from the recent U.S. annual meeting proxy season and provide takeaways for 2025.

Social, political and environmental proposals plateaued after significant year-over-year increases in prior years. Typical for the social and political category, trends reflected the impacts of the prior year's most high-profile legal and sociopolitical developments, such as the Supreme Court's decision in Harvard and the continuing national debate on DEI, the union-driven focus on labor issues and the recent regulatory and stakeholder focus on AI.

Marc, Melissa and June also discussed how companies can prepare for the 2025 proxy season, including mechanisms outside of the traditional "playbook."
